1. Application of these Terms and Conditions

1.1. These Terms and Conditions (Terms) contain the terms on which you may use our services, which are accessible via our website, www.nurole.com (Nurole.com).

1.2. These Terms apply to individuals (Individuals) using Nurole’s services for board member learning and networking (Services). References to “you” “your” or other similar terms are construed accordingly.

1.3. The terms "we", "us", or other similar terms when used in these Terms mean Nurole Ltd a company incorporated in England, registered company number 08917794 (Nurole) whose registered address is 1 Lyric Square, London, W6 0NB which includes where applicable our subsidiaries, divisions, branches, affiliates or companies under common ownership or control of Nurole.

2. Our Services

2.1. Nurole provides Membership and Sessions for the purpose of learning and networking for board members; together these are referred to as the Services.

2.2. Membership refers to subscription packages purchased for a defined term, which may be referred to as the Board Community or other product names.

2.3. Sessions refers to individual or packages of events which may be provided as part of Membership or accessed separately, in which case they may be referred to as Board Mastermind Groups or other product names.

2.4. Nurole operates as a digital platform only and not as an employment agency or business, or as an educational institution.

2.5. Nurole shall have the right to make any changes to the Services which are necessary to comply with any applicable law, or which do not materially affect the nature or quality of the Services.

2.6. Purchase of and entitlement to all Services is non-transferable. Access to Services may not be shared, except at our sole discretion.

3. Sessions

3.1. Session details are accurate at the time of publication but we reserve the right to alter the content, format, venue or timing. Individuals will be notified of any such changes as soon as reasonably practicable.

3.2. Where a change affects an Individual’s ability to participate in a Session we will make reasonable efforts to provide an alternative option where practicable. However, an Individual's entitlement is only to participate in the Session booked, irrespective of any changes, and we make no guarantee that an alternative option will be available.

4. Membership Benefits

4.1. Membership packages comprise benefits (Membership Benefits) which vary according to the category of Membership held and can be found on our website.

4.2. We may enhance, change or withdraw any and all Membership Benefits that apply to your Membership at any time. Changes to Membership Benefits will be posted on our Website. We will also provide you with 30 days’ notice in advance of any changes to Membership Benefits which we consider will materially impact the particular category of Membership you hold.

5. Fees & payment

5.1. Individuals who wish to use the Services shall pay fees as detailed on our website via the appropriate payment portal.

5.2. All fees for Services stated on the Nurole website are correct at the time of publication but subject to change.

5.2.1. Changes to fees will not affect confirmed bookings for Sessions;

5.2.2. In the case of Memberships, fees will be unchanged for the current paid period and will take effect from the start of the next paid period. Such fee changes will be communicated by email to any Individuals holding a current Membership as soon as reasonably practicable after the change is confirmed.

5.3. All amounts payable by you under any agreement with us are exclusive of VAT and other similar tax, deductions or withholdings required by law which (if applicable) shall also be payable by you.

6. Right to cancel

6.1. If we decide not to provide the Services to you prior to commencement of those Services, we will provide a full refund of any fees paid.

6.2. If you decide not to use the Services prior to commencement, you may request a refund of fees paid. However, there is no entitlement to a refund in this circumstance and the grant of a refund, and the amount of that refund, will be at our sole discretion.

7. Termination of Membership

7.1. Membership will continue indefinitely until terminated.

7.2. You may request termination of your Membership at any time. You will continue to have access to Membership Benefits until the end of your current paid period, at which point your Membership will terminate.

7.3. Your Membership will be terminated immediately if a due fee payment is not received. You may contact us to reinstate your Membership if payment is missed in error.

7.4. Nurole reserves the right to terminate Membership at any time if, in our sole judgement, you have violated these Terms.

8. Unacceptable Conduct

8.1. Unacceptable conduct in events will not be tolerated. This includes, but is not limited to, abuse of the forum, personal abuse, bullying and harassment of any kind.

8.2. Nurole reserves the right to summarily remove any Individual from a Session or other event if, in the sole judgement of a Nurole facilitator, the Individual has engaged in unacceptable conduct.

8.3. Nurole reserves the right to terminate any Individual’s Membership if, in the sole judgement of a Nurole facilitator, the Individual has engaged in unacceptable conduct.

9. Use of your Information

9.1. Any and all information which an Individual provides will only be used for the purpose of providing the Services, which can include (but is not limited to) sharing information with other users of the Services.

9.2. No information will be passed to any third party except for the purpose of providing the Services.

10. Recordings and transcripts

10.1. From time to time, Sessions or other online events in which Individuals participate will be recorded or transcripts will be made only for the purposes of delivery of the Services or our improvement of future delivery of the Services.

11. Data Protection

11.1. We are committed to protecting your privacy and by agreeing to these Terms you acknowledge that you have read and understood our Privacy Policy (www.nurole.com/privacy) and that you will abide by, and agree with its terms.

12. Intellectual Property

12.1. All intellectual property incorporated into the Services is owned by Nurole or third parties engaged by Nurole.

12.2. Irrespective of Membership status, Individuals have no right to use Nurole intellectual property, including the Nurole brand and logo, except where expressly provided in writing.

12.3. Individuals shall not:

12.3.1. Make audio or video recordings of any Sessions or other events provided or arranged by Nurole or third parties engaged by Nurole, except where expressly provided in writing;

12.3.2. Licence, sell, rent, lease, transfer, assign or otherwise commercially exploit any materials or content provided as part of the Services.

13. Our Right to Vary these Terms of Use

13.1. We have the right to revise and amend these Terms from time to time to reflect changes in our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system's capabilities. If we decide to change these Terms, we will post those changes on our website.

13.2. Please print a copy of these Terms for future reference.

14. No Warranty

14.1. We make no warranty in respect of the Services whatsoever except as expressly contained in this section of these Terms. We will use all reasonable skill and care (in accordance with industry standards of good practice for comparable industries) to:

14.1.1. Investigate any alleged breach of these Terms and take appropriate action at our sole discretion; and

14.1.2. Process all Personal Data we collect in accordance with the relevant data protection laws including the UK Data Protection Act 2018 and the EU General Data Protection Regulation (EU) 2016/679 as enacted into the law of England and Wales by section 3 of the European Union (Withdrawal Agreement) Act 2020.

14.2. The Services include forums wherein other Individuals may volunteer information or advice. Such information or advice is at all timers provided independently of Nurole and without our endorsement. You acknowledge and agree that we have no control whatsoever over the truth, accuracy, quality, safety or legality of the information and advice other Individuals provide. Your use of the information and advice is at your sole risk.

15. Force Majeure

15.1. Neither party shall be in breach of this agreement nor liable for delay in performing, or failing to perform, any of its obligations under these Terms if such delay or failure results from events, circumstances or causes beyond its reasonable control.

16. Law & Jurisdiction

16.1. These Terms shall be governed by and construed in accordance with the laws of England and you hereby submit to the exclusive jurisdiction of the courts of England and Wales.
