Metropolitan Thames Valley (MTVH) is a c. £400m ‘business for social purpose’ and an organisation founded to stand against injustice and provide a base for the people who make Britain what it is today. MTVH owns and manages over 58,000 homes for affordable rent, shared-ownership, market rent and supported housing across London, the South East, the East Midlands and the East of England. MTVH is an active and engaged part of the social housing sector, which forms a large and critical part of the UK’s economy and infrastructure and is a key partner to Government in addressing the country’s housing crisis. Current concerns for MTVH and the sector are how the current increase in the cost of living and in energy costs affect both its customers and its own priorities - which include investment in fire remediation and decarbonisation works, investment in its properties, supporting its customers and developing new homes. Continuing to secure new funding and ensuring its existing funding is at the most beneficial rates is an essential part of these discussions.


Role specification

MTVH is led by a Board and has six Board Sub-Committees. The overall purpose of the Sub-Committees is to carry out the duties delegated to them on behalf of the Board. Each Sub-Committee focuses on a specific part of the business and they are primarily made up of Non-Executive Board Members. MTVH seeks two Independent Committee Members to sit on the Treasury Committee (TC) and Audit and Risk Committee (ARC) respectively.

The TC is responsible for the Annual Treasury Policy and Treasury Strategic Plan, new borrowings, new loans, ISDAs (International Swaps and Derivative Association) covering derivative transactions, investments and other new transactions within treasury. The role of the TC Independent Member is to contribute their specialist knowledge to the debate and decision-making of the Committee.

The ARC covers all MTVH activities and now wishes to strengthen its membership by appointing an Independent Committee Member who does not sit on the Board. Person specification

Independent Treasury Committee Member

MTVH seeks someone with relevant senior strategic treasury experience within a similar size or larger business. The ideal candidate will understand the impact of alternative funding strategies and debt products on group strategy, financial flexibility and interest cost. They are keen to augment the existing skills of the organisation to reduce funding costs. The business has significant development and asset spend aspirations, and a cost-effective funding portfolio will be a vital tool in supporting this strategy.

MTVH anticipates that candidates for this role hold a current or very recent Group Treasurer or senior treasury role in a major corporate and have senior executive/operational or non-executive experience. This could be from outside the housing sector, but should be from a company which is an active borrower in bank lending and capital markets.

The successful candidate will possess excellent analytical skills with the ability to scrutinise reports and arguments with knowledge of the wider strategic context, and excellent communication skills with the ability to communicate effectively and to contribute to the Committee discussion, in person, virtually, and in written form.

Independent Audit & Risk Committee Member

MTVH seeks an individual with extensive senior experience serving on the audit committee of a regulated business, such as housing, health or education. Experience within housing finance or management would be particularly welcomed. The successful candidate will possess a clear understanding of internal and external audit process, have excellent analytical skills, with the ability to scrutinise financial statements and audit reports and to comment on their content using their knowledge of the wider strategic context. They will possess excellent communication skills with the ability to communicate effectively and to contribute to the Committee discussion, in person, virtually, and in written form.

Terms of appointment

The position is remunerated at £4,000 per year, subject to statutory deductions. Remuneration is processed and taxed within MTVH’s PAYE framework. Members are expected to attend four quarterly committee meetings per annum with some additional meetings, briefings and site visits.


Location

Meetings are generally held during the working day, in person at its Central London office with facilities for virtual attendance; meetings last approximately two hours.
