  1. Definition
    1.1 Terms: these terms and conditions as amended from time to time in accordance with clause 21.1.
  2. Interpretation
    2.1 These Terms apply to any user of the ETBC Vacancy Board service and the organisation (“Organisation”), upon whose behalf the user is acting, that is seeking to recruit suitable individuals (“Individuals”) for a non-executive or advisory role (“Role”). All references to “you” or “your” shall mean the individual user and Organisation.
    2.2 These Terms cover Nurole’s Services and the use of Nurole’s digital platform (“Platform”) as part of the delivery of the Services. 
    2.3 The terms "we", "us", or other similar terms when used in these Terms mean Nurole Ltd a company incorporated in England, registered company number 08917794 (“Nurole”) whose registered address is 66 Porchester Road, London W2 6ET, which includes where applicable our subsidiaries, divisions, branches, affiliates or companies under common ownership or control of Nurole.
  3. Services
    3.1 These terms govern the ETBC Vacancy Board service, Nurole’s provision of the Platform and your use of the Platform to post Role advertisements for non-executive and advisory Roles.
    3.2 The Free service allows you to submit a Role advertisement via the Platform which, if approved, will be posted on the ETBC Vacancy board.
    3.3 The Featured service allows you to submit a Role advertisement via the Platform which, if approved, will be posted in a priority position on the ETBC Vacancy board and marked as featured. 
    3.4 How a Role advertisement is presented, what constitutes a priority position, and how a Role advertisement is marked as featured, is determined solely at Nurole's discretion. We reserve the right to alter, adjust or redefine the layout or presentation of Role advertisements and the nature of any priority position or featured marking at any time without notice, and no particular placement or prominence is guaranteed.
    3.5 By posting to the ETBC Vacancy board, you accept and we guarantee that the Role advertisement will be available to eligible ETBC members to view. 
    3.6 The Services do not include any proactive promotion of the Role or procurement of applications to it.
    3.7 Nurole shall have the right to make any changes to the Services which are necessary to comply with any applicable law, or any changes at our discretion which do not materially affect the nature or quality of the Services.
  4. Role advertisement
    4.1 You warrant that:
    4.1.1 you are authorised by the Organisation to advertise the Role on the Platform;
    4.1.2 you are authorised by the Organisation to use the Organisation’s name and any trademarks or logos used for the purposes of advertising the Role to our members; and
    4.1.3 you have all necessary rights to any information you provide for the purpose of the Role advertisement including that we may publish the advertisement on the Platform without breaching any confidentiality obligations or laws or regulations that apply to you or the Organisation.
    4.2 The content of the Role advertisement shall not:
    4.2.1 be false, inaccurate, misleading or fraudulent;
    4.2.2 infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
    4.2.3 be in breach of any applicable law or regulation (including, but not limited to, those governing consumer protection, unfair competition, anti-discrimination, data protection/privacy or false advertising.
  5. Acceptable Use
    5.1 You agree that you will not use the Platform or Services to:
    5.1.1 upload, post or transmit any content that is unlawful, harmful, offensive, discriminatory or misleading;
    5.1.2 scrape, harvest or otherwise extract data from the Platform by automated means or otherwise, except as expressly permitted under these Terms;
    5.1.3 introduce any virus, malware or other harmful code to the Platform;
    5.1.4 use the Platform for any commercial purpose other than posting Role advertisements as contemplated by these Terms; or
    5.1.5 impersonate any person or organisation, or misrepresent your affiliation with any person or organisation.
    5.2 We reserve the right to investigate any suspected breach of this clause and to take such action as we consider appropriate, including suspending or terminating your access to the Platform in accordance with clause 11.2.
  6. Rejection or withdrawal of a Role advertisement
    6.1 We reserve the right to refuse to publish, or to remove or edit, any Role advertisement which we determine:
    6.1.1 is contrary to local, national or international laws including but not limited to laws relating to employment, equal employment opportunity and employment eligibility requirements, data protection/privacy, data access and use and intellectual property;
    6.1.2 promotes any opportunity that does not represent bona fide employment;
    6.1.3 is a misrepresentation of the role described; 
    6.1.4 is in conflict or competition with Nurole’s legitimate business interests; or
    6.1.5 at our discretion, should be removed for any other reason.
    6.2 If we reject, remove or edit your Role advertisement, we shall contact you providing the reasons we have done so.
    6.3 If we reject your Role advertisement, we will refund in full any fees paid in connection with the Role advertisement that was rejected.
    6.4 If we withdraw your Role advertisement for reasons which reasonably should have been apparent to us when the Role advertisement was approved, we may at our discretion refund in full or part any fees paid in connection with the Role advertisement that was removed.
  7. Your use of Information
    7.1 You acknowledge and agree that we have no control whatsoever over the truth, accuracy, quality, safety or legality of the information provided by Individuals in response to your Role advertisement (“Individuals’ Information”). Your use of the Individuals’ Information is at your sole risk.
    7.2 You agree that you will not:
    7.2.1 share Individuals' Information with any third party except those directly involved in the recruitment process for the Role, who are subject to equivalent confidentiality obligations; or
    7.2.2 use an Individual’s Information for any purpose other than the recruitment of the Role.
  8. Data protection
    8.1 For the purposes of data protection law, including the UK Data Protection Act 2018 (DPA) and the retained version of the EU Data Protection Regulation (EU) 2016/679 as enacted into English Law by section 3 of the European Union (Withdrawal Agreement) Act 2020 ("UK GDPR") ("Data Protection Law") Nurole is a data controller and is registered with the Information Commissioner's Office with notification number ZA138894.
    8.2 You agree to protect all personal data received in response to the Role advertisement in accordance with Data Protection Law.
  9. Fees
    9.1 Users who select the Featured service will pay a fee to do so. We will not publish a Role advertisement under the Featured service until we have received payment of the fee.
    9.2 The fee for the Featured service is a fixed fee that is inclusive of the prevailing rate of UK VAT. If you believe your Organisation is outside the scope of UK VAT, please contact us at +44 203 925 4080 or by email at [email protected] to request the Featured service at a VAT-exclusive rate.
  10. Disputes
    10.1 You expressly agree that in the event of any dispute between you and an Individual, you will attempt to resolve the dispute directly with the Individual acting in good faith at all times. 
    10.2 Nurole shall not be liable for any costs incurred arising from any dispute between you and an Individual.
  11. Termination
    11.1 Either party may terminate these Terms at any time by providing written notice to the other party in accordance with clause 17.
    11.2 We reserve the right to suspend or terminate your access to the Platform immediately and without notice if we reasonably consider that you have breached any provision of these Terms, or if continued access would be contrary to any applicable law or regulation.
    11.3 On termination, your right to use the Services will cease immediately. Any Role advertisement active at the time of termination may be removed by us at our discretion. No fees paid will be refunded on termination.
    11.4 Clauses which by their nature should survive termination shall continue in force, including but not limited to clauses 7 (Your Use of Information), 8 (Data Protection), 13 (Liability), 15 (Intellectual Property Rights), 16 (Database Rights) and 18 (Confidentiality).
  12. No Warranty
    12.1 We make no warranty in respect of the Individuals’ Information whatsoever. 
    12.2 We provide the Platform on a reasonable efforts basis and make no warranties as to its continuous availability or the accuracy of information posted by third parties.
  13. Liability
    13.1 You understand and accept that Nurole cannot guarantee the truth or accuracy of the Individuals’ Information that is supplied in response to a Role advertisement.
    13.2 Nothing in these Terms shall limit or exclude our liability for fraudulent misrepresentation, or for death or personal injury resulting from our negligence or the negligence of our agents or employees. Subject to the foregoing, we (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) will not be liable for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special, indirect or consequential damages arising out of or in connection with our Services, the Individuals’ Information or these Terms.
    13.3 In the event that we are found liable by a court of competent jurisdiction, our liability to you or any third party, and the liability of our parent, subsidiaries, affiliates, officers, directors, agents and employees, in any circumstance shall be limited to the fees paid by you to us in relation to the Services in the preceding 12 months.
  14. Assignment
    14.1 You agree that these Terms and all incorporated agreements may be automatically assigned by us, in our sole discretion, to a third party in the event of a merger or acquisition or similar corporate transaction. You may not assign, license or subcontract any of your rights or obligations under these Terms unless expressly agreed by us.
  15. Intellectual Property Rights
    15.1 For the purposes of these Terms, intellectual property shall be understood to mean any content, materials or data in which intellectual property rights subsist
    15.2 All intellectual property rights in any materials, content or work product pre-existing this agreement, or developed independently outside of it, shall remain the sole property of the original owner. Nothing in this agreement shall be construed as transferring, assigning, or granting any rights, title, or interest in such intellectual property to any other party.
    15.3 We permit you to copy, download, reproduce and/or electronically save part or parts of the contents of the Platform solely for internal business purposes in connection with the Role. Any other use of the contents of our website is strictly prohibited. Any trademarks on the Platform are the property of Nurole or trademarks of their respective proprietors.
  16. Database Rights
    16.1 Nurole is the owner of all rights in the data and database (together, the “Data”) within the Services and the Platform as defined under the Copyright, Design and Patents Act 1988 and the Copyright and Rights in Database Regulations 1997. You may not copy, distribute, licence, publish, reproduce or disclose to any third party or extract from the Data except as permitted under this agreement.
  17. Notices
    17.1 Any notice or other communication given to a party under or in connection with this agreement shall be in writing by email. Notices from us will be sent to your account email address. Notices from you may be sent to [email protected].

  18. Confidentiality
    18.1 Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers and clients of the other party, except as permitted by clause 18.2 below.
    18.2 Each party may disclose the other party’s confidential information:
    18.2.1 to its employees, officers, representatives, subcontractors or advisors provided those to whom it discloses the other party’s confidential information comply with this clause; and
    18.2.2 as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
    18.3 Neither party shall use the other party’s confidential information for any purpose other than to perform its obligations under these Terms.
  19. No Partnership
    19.1 No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship between the parties is intended or created by these Terms.
  20. Force Majeure
    20.1 Neither party shall be in breach of these Terms nor liable for delay in performing, or failing to perform, any of its obligations under the Terms if such breach, delay or failure results from events, circumstances or causes beyond its reasonable control.
  21. Variation
    21.1 We have the right to revise and amend these Terms from time to time to reflect changes in our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system's capabilities. If we decide to change these Terms, we will post those changes on our website. 
  22. Entire Agreement
    21.2 These Terms contain the entire terms and conditions agreed between you and Nurole applicable to the Services.
  23. Law & Jurisdiction
    23.1 These Terms shall be governed by and construed in accordance with the laws of England and you hereby submit to the exclusive jurisdiction of the English courts.
